There鈥檚 a scissor lift for prompt payment but industry still using a wooden ladder: Leduc

Prompt Payment is not working the way it should be in Ontario and the approach needs to change.

That was the message from Dan Leduc, partner at Soloway Wright LLP, who worked for Prompt Payment Ontario and was instrumental in bringing legislation into the province. He recently spoke during a session at the Canadian Institute of Steel鈥檚 Construction鈥檚 conference in Toronto.

鈥淒o you know what the problems are for prompt payment? Can you explain to me why?鈥 asked Leduc.

鈥淒o you have a mirror? It鈥檚 this mindset that you鈥檝e had for the last 30 or 40 years that it鈥檚 OK to get paid on 70-day terms. You haven鈥檛 adjusted your corporate culture and it鈥檚 not impolite to ask for payment after the due date. If on day 35 you鈥檙e not paid, day 36 you鈥檙e picking up a phone. You have to challenge, you have to chase your money.鈥

The prompt payment regime has been in place for a few years now in Ontario, he pointed out.

鈥淢y clients did see an initial bump鈥hen it came in,鈥 Leduc said. 鈥淭hey went from 70 days down to 50 or 45 but then COVID came in and interrupted all that. But now we鈥檙e out of COVID and they鈥檙e still looking at 50 to 70 day terms on payment, so it鈥檚 not doing what it needs to do.鈥

He had a few suggestions for improving how things work, including adjudication.

鈥淭here is a real hesitancy to trigger an adjudication,鈥 he said. 鈥淚t鈥檚 another tool that鈥檚 been given to you.鈥

He said the cost is a deterrent for some but that shouldn鈥檛 be the case.

鈥淲hat if there is no notice of non-payment?鈥 asked Leduc. 鈥淭his is the leverage that you want鈥t鈥檚 got to be sent out on day 14鈥f it鈥檚 not, my argument is the language in the prompt payment regime is mandatory. If you didn鈥檛 do that, if you didn鈥檛 give me notice, you鈥檝e got to pay.

鈥淚f you don鈥檛 have a notice of non-payment it鈥檚 even easier to get an adjudication because you can say they鈥檙e supposed to give you the 14 day notice.鈥

Pursuing interest is another option now that rates are higher than they have been in the last 10 to 15 years.

鈥淲e鈥檙e all being penalized because of increases in interest rates but on the upside it also means many of your contracts are carrying a higher rate of interest,鈥 Leduc pointed out. 鈥淚f you are tied to a CCA I or a CCDC 2 contract the interest rate is typically two points above prime for the first 60 days, four points above prime after that. We鈥檙e talking eight or nine points now. I do have clients that have these amazing algorithms that pump in their receivables and calculate the interest based on prime and they just have a running list and you pursue that.鈥

He also said it is critical for project managers (PM) and middle managers to know how they鈥檙e getting paid on a project. At kick off meetings he鈥檒l ask clients 鈥渉ow are we getting paid on this job?鈥

鈥(They say) 鈥榟ead office handles that,鈥欌 he stated. 鈥溾楴o, you are the person that鈥檚 named on the proper invoice from the owner, you鈥檙e the guy, how are we getting paid?鈥 You would be surprised how many PMs and middle managers don鈥檛 know about the prompt payment regime.鈥

He even has some clients doing mockup or draft invoices to ensure the names, addresses and all the information is correct.

鈥淏e proactive, ask, tell them I need to get paid on 35-day terms,鈥 he said.

Don鈥檛 be afraid to give a notice.

鈥淚f somebody is late giving you a payment that鈥檚 actually a breach of contract,鈥 he said.

鈥淩emind them it鈥檚 your contract that you made me sign that says if there is a breach I can give a notice usually within 10 days and I haven鈥檛 been paid. Give the notice鈥f that doesn鈥檛 work do a draft notice of adjudication鈥o it incrementally. Ask some questions, find out what鈥檚 going on. But you have to give notice under your contract. It鈥檚 mandatory for you to seek recourse later on. The most difficult thing for you to do is give notice of breach to somebody you鈥檙e doing business with because we think it鈥檚 offensive.鈥

Attitudes in the industry need to change. He talked about all the work he and his fellow advocates did to get the prompt payment regime in place.

鈥淪o much effort to give you a scissor lift with prompt payment and you鈥檙e still using a wooden ladder,鈥 he said. 鈥淵ou have to do something鈥ecause right now you鈥檙e doing nothing and they鈥檙e winning. They鈥檙e sitting on your money.鈥
